Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your use of the Vintera Labs platform ("Service"), operated by Vintera Labs AB, a Swedish company ("Vintera Labs", "we", "us", "our").

By creating an account and using our Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms apply to business customers only. Our Service is not intended for consumers.

2. The Service

Vintera Labs provides an AI-powered platform that helps subscription businesses recover failed payments, predict churn, prevent payment failures, and re-engage churned customers. The Service connects to your Stripe account and other integrated tools to automate these processes on your behalf.

2.1 What We Do

  • Monitor your Stripe account for failed payment events in real time
  • Automatically send recovery emails to your customers on your behalf
  • Score customer health and flag at-risk accounts
  • Send notifications to your connected Slack workspace
  • Provide a dashboard for visibility into cases and outcomes

2.2 What We Do Not Do

  • We do not guarantee recovery of any specific payment or customer
  • We do not handle money — all payments are processed by Stripe directly
  • We do not provide legal or financial advice

3. Account Registration

To use the Service, you must:

  • Create an account with a valid email address
  • Connect at least one Stripe account via OAuth
  • Provide accurate and complete information

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Pricing and Payment

4.1 Fees

Our pricing consists of:

  • A monthly base fee as specified on our pricing page
  • A success fee as a percentage of revenue recovered through our Service

Current pricing is available at vinteralabs.io/pricing. We reserve the right to change pricing with 30 days' notice.

4.2 Billing

  • The base fee is billed monthly in advance
  • The success fee is calculated and billed monthly based on confirmed recovered payments
  • All fees are exclusive of VAT, which will be added where applicable

4.3 Non-payment

If payment is not received within 14 days of the due date, we reserve the right to suspend your access to the Service.

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you bring to the Service, including data accessed via your Stripe, HubSpot, and Slack integrations.

5.2 Data Processing

By using the Service, you appoint Vintera Labs as a data processor acting on your behalf. We process your customers' personal data only to provide the Service. Our Data Processing Agreement (DPA), which forms part of these Terms, governs this processing.

5.3 AI Processing

Our Service uses AI models (including Anthropic's Claude API) to generate personalized outreach and make recovery decisions. These AI-generated outputs are sent on your behalf under your business name and email domain.

You are responsible for ensuring that the use of AI-generated communications to your customers complies with applicable laws in your jurisdiction.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Connect Stripe accounts you do not own or have authorization to use
  • Attempt to reverse engineer, copy, or resell the Service
  • Use the Service to send spam or unsolicited communications beyond legitimate recovery outreach
  • Interfere with the security or integrity of the Service

7. Intellectual Property

All software, algorithms, designs, and content that make up the Vintera Labs platform are owned by Vintera Labs AB. Nothing in these Terms grants you ownership of any part of the Service.

You grant us a limited license to access and process your data solely to provide the Service.

8. Disclaimers and Limitation of Liability

8.1 No Guarantee of Results

We do not guarantee any specific recovery rate, churn reduction, or business outcome. Results depend on factors outside our control, including your customers' payment behavior and the quality of your data.

8.2 Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. We are not liable for losses caused by downtime or technical issues.

8.3 Limitation of Liability

To the maximum extent permitted by Swedish law, Vintera Labs' total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the fees paid by you in the three months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue or data.

9. Termination

9.1 By You

You may cancel your account at any time by contacting us at hello@vinteralabs.io. Cancellation takes effect at the end of the current billing period.

9.2 By Us

We may suspend or terminate your account immediately if you breach these Terms or if we reasonably believe your use of the Service poses a legal or security risk.

9.3 Effect of Termination

Upon termination, your access to the Service will cease and we will delete your data within 30 days in accordance with our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

11. Governing Law and Disputes

These Terms are governed by Swedish law. Any disputes arising from these Terms shall be resolved by the Swedish courts, with the Stockholm District Court as the court of first instance.
